Endeavor’s Ari Emanuel and Mark Shapiro Resigned From Live Nation Board Over Antitrust Concerns, DOJ Says

More than two weeks after Ariel Emanuel stepped down as a Live Nation board member after 14 years, the Department of Justice announced that he and fellow top Endeavor officer Mark Shapiro resigned their board positions after the DOJ expressed antitrust concerns, according to a DOJ statement Monday (June 21). The DOJ’s concern was that Emanuel’s and Shapiro’s “positions on the Live Nation Board created an illegal interlocking directorate,” i.e. a situation where one person — or an agent of one person or company — serves as an officer or director of two companies.

Emanuel had planned to leave following the launch of Endeavor’s IPO in April, according to a source at Live Nation, After a false start in 2019, Emanuel was able to successfully take the sprawling entertainment company Endeavor -- which owns the WME and IMG talent agencies, the Miss Universe Pageant, Ultimate Fighting Championship and ticketing and hospitality company OnLocation -- public on the New York Stock Exchange, raising about $511 million at a valuation of a little over $6 billion.

Endeavor CEO Ari Emanuel has resigned from the board of directors of events promoter and venue operator Live Nation Entertainment. “On June 3, 2021, Ariel Emanuel tendered his resignation as a member of the board of directors of Live Nation Entertainment, effective immediately,” the company disclosed in a regulatory filing. “In connection therewith, Mr. Emanuel withdrew from reelection to the board of directors and will not be standing for reelection at the company’s annual meeting of stockholders to be held June 10.”
